Legal Contracts Manager

ABOUT THE POSITION

Reporting to the Director-Legal, the person will be responsible for supporting Contract Management, Dispute Management and Legal Compliances for new / upcoming projects as well as existing assets. The position is based out of Bengaluru or Delhi supporting business functions across India and South East Asia.

KEY RESPONSIBILITIES

  • Contract Management: Ensuring valid and enforceable contract execution. Drafting, review and support in negotiation, finalization and execution of turnkey / split wind and solar power project contracts, EPC contracts, O&M contracts, Debt term sheets, financing/loan documents, MoUs, collaboration agreements, services contracts and procurement contracts. Ensuring compliance with company policy, global contracting strategy and statutory requirements. Coordinate with external legal counsel for reviews. Ensure legality of commercial transactions and advise on legal rights and duties;
  • Dispute & Litigation Management: For dispute and litigations- ensuring compliance with business guidelines and statutory requirements, advisory and support on actions and to coordinate with external legal counsel as required. Track status of disputes raised by or against the company. Track legal cases filed by or against the company as required. Represent, track and ensure reflection of company stance in coordinated legal efforts by Industry body as required. Represent company in legal proceedings as required. Support maintenance of files, case lists, records & MIS, with updating of cases etc as required;
  • Legal Compliance: Track and pursue timely renewal of agreements/contracts. Track and pursue legal compliance audits as required. Research anticipate and guard company against legal risks. Support creation of proper case folders in case of breaches or anticipated breaches as required. Support in obtaining licenses, formal agreements with Government or regulatory bodies including support & advise to ensure compliance; and
  • Legal Due Diligence: Advise on bid / tender due diligence & associated risks.

EDUCATION

  • Legal professional from reputable institutions/law school

Experience

  • 8-12 years of experience in similar roles with exposure on drafting, negotiating and finalizing renewable energy project contracts, procurement contracts, legal aspects, etc.
  • Must have experience handling complete lifecycle of multiple contracts.
  • Basic understanding of commercial and financial business environment is a must.

  • Should be well versed in contractual & legal requirements and business environment
  • Should be aware of corporate legal processes
  • Should have demonstrated negotiation skills
  • Must exhibit ability to understand elements of renewable power business including risks and ability to mitigate them thru various options including legal protection etc.  
  • Understanding the financial aspects of renewable projects.
  • Demonstrated ability to work with multi-functional and transnational teams.
  • Disciplined in following protocols and procedures.
  • Strong interpersonal and team traits – likes interacting with people / functions, high initiative & self-drive, good with numbers.
  • Have good communication skills – written, oral, and presentation
  • Ability to follow direction from senior colleagues and take on new and different tasks
  • Ability to deal with multiple stake holders
  • Demonstrate a positive approach and keep up to date with developments in relevant areas
