Senior Associate, Corporate Secretary


The Senior Associate, Corporate Secretary will ensure that all matters relating to corporate secretarial and compliance will be carried out efficiently and in a timely manner so as to allow the ROHQ to perform services to the Vena Energy companies.


  • Organizing, preparing agenda for and taking minutes of board, shareholder meetings and annual general meetings (AGMs)
  • Manage and maintain corporate registers (directorships, shareholdings, resolutions/minutes) for all entities
  • Manage and monitor all corporate obligations including the requirement for board meetings
  • Maintain the records management system and ensure all records (resolutions, corporate documents, agreements, advice) are accurately filed onsite (hard and soft copy) and offsite at external advisor’s premises
  • Manage the execution, coordinating documentation closings, notarization of various corporate and transactional documents, assisting with the lodgment of corporate documents as required by regulatory authorities or other external parties
  • Liaise with external parties on day-to-day queries, anti-money laundering queries and the status and completion of tasks
  • Monitor and carry out statutory filing obligations including annual general meetings
  • Incorporation of new entities and coordinating all the corporate and regulatory requirements in relation to such incorporation
  • Oversee and maintain the group’s ownership structure and update changes of new entities, shareholdings and portfolio investments
  • Maintain of fund regulatory and compliance calendar
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
  • Dealing with correspondence, collating information and writing reports, ensuring decisions are made are communicated to the relevant company stakeholders
  • Liaising with external regulators and advisers, such as lawyers and auditors
  • Other ad-hoc company secretary requests and administrative matters
  • Providing general administrative support to a busy and energetic ROHQ team comprising the legal, company secretarial, risk and compliance functions of the business, in a dynamic and fast paced environment


  • Business Administration, Office administration, or any other related course


  • 5 years or more experience in corporate secretarial and/ or legal work


  • Proficient in MS Office 365
  • Good English communication skills (verbal and written)
  • Excellent organization skills
  • Attention to detail
